1.2 Headings are for convenience only. Words in the singular include the plural and vice versa. The word “including” shall be construed without limitation.

2. Acceptance

2.1 By accessing the Website, submitting an application or using the Application, the User agrees to be bound by these Terms.

2.2 A person who accepts these Terms on behalf of a business warrants that they are authorised to bind that business, and that they are at least eighteen (18) years of age.

2.3 A User who does not accept these Terms shall not use the Website or the Application.

3. Use of the Website

3.1 The Website is provided to inform prospective clients about Hauzisha Leads and to receive applications.

3.2 The User shall not attempt to gain unauthorised access to the Website or any related system, interfere with its operation, introduce malicious code, or extract its content by automated means, and acknowledges that such conduct may constitute an offence under the Computer Misuse and Cybercrimes Act, 2018.

4. Applications

4.1 The submission of an application constitutes an expression of interest only and does not create a contract or any obligation on either party.

4.2 The applicant warrants that the information provided is true, complete and not misleading, and authorises the Company to verify it, including the applicant's registration, licences and record of work. The Company may require supporting documents.

4.3 The Company engages one Client Business per service in each area. The Company may, in its absolute discretion, accept or decline an application, or propose a different area or service, and is not obliged to give reasons for its decision.

5. The Service Agreement

5.1 No engagement shall commence until a Service Agreement has been signed by both parties. The Service Agreement shall set out the Lead Website and area, the service covered, the fees and the basis on which they are charged (whether a monthly fee, a fee per Enquiry or a commission per job), the commencement date and the terms of termination.

5.2 These Terms are incorporated into every Service Agreement. In the event of conflict between these Terms and a Service Agreement, the Service Agreement shall prevail.

6. No warranty of results

6.1 The Company assesses each market before entering into a Service Agreement. However, the ranking of websites is determined by search engines and is outside the control of the Company.

6.2 The Company does not represent, warrant or guarantee any search ranking, volume of Enquiries, number of jobs or level of revenue or profit.

6.3 Figures, examples and illustrations on the Website, including in any video, are illustrative only and do not constitute a representation of the results a Client Business will achieve.

7. Enquiries and Customers

7.1 The Lead Websites remain at all times the property of the Company. During the term of a Service Agreement, Enquiries for the service and area covered shall be delivered exclusively to the Client Business.

7.2 The contract for any work is between the Client Business and the Customer. The Company is not a party to it. The Client Business is solely responsible for its quotations, workmanship, pricing, warranties and dealings with Customers.

7.3 The Client Business shall deal with Customers fairly, honestly and in accordance with the Consumer Protection Act, 2012 and all other applicable laws, shall respond to Enquiries promptly, and shall not use a Customer's personal data for any purpose other than the Enquiry without the Customer's consent.

7.4 The Company may investigate any complaint concerning the treatment of a Customer and may take action under clause 15.

8. The Application

8.1 Licence. Subject to these Terms, the Company grants each Client Business a limited, non-exclusive, non-transferable and revocable licence to use the Application for the purposes of its business during the term of its Service Agreement. The Client Business shall not copy, modify, sublicense, resell, decompile or reverse-engineer the Application.

8.2 Accounts. The Client Business shall keep its access credentials confidential and is responsible for all activity carried out under its accounts. The Client Business shall promptly remove any administrator or technician who ceases to be authorised, whereupon that person's access shall end.

8.3 Availability. The Company shall use reasonable efforts to keep the Application available and secure, but does not warrant uninterrupted availability. The Application may be unavailable for maintenance or for reasons beyond the Company's control.

8.4 App stores. Where the Application is obtained from the Apple App Store or Google Play, the terms of the relevant store also apply. Apple Inc. and Google LLC are not responsible for the Application, its content or its support.

9. Calls and recordings

9.1 Calls placed through the business line provided by the Company are recorded, transcribed and summarised by automated means, as described in the privacy notice. Customers are informed before connection that the call may be recorded.

9.2 The Client Business shall use recordings, transcripts and summaries solely to serve the Customer concerned and to resolve disputes, and shall not disclose them outside its business except as required by law.

9.3 Automated summaries may contain errors. The Client Business shall verify any material matter, including prices and dates, against the recording before relying on it.

10. Prohibited conduct

10.1 The User shall not use the Website, the Application, any business line or any Lead Website to:

  • (a) send unsolicited communications, harass any person, or contact any person who has not made an Enquiry;
  • (b) misrepresent its identity, qualifications, licences or prices;
  • (c) contravene any law, including laws relating to consumer protection, data protection, communications and professional licensing; or
  • (d) access or attempt to access the data of another Client Business, or interfere with the security of any system of the Company.

11. Fees and payment

11.1 The Client Business shall pay the fees set out in its Service Agreement, by M-Pesa or bank transfer, on the dates specified. Fees are exclusive of any applicable taxes unless stated otherwise.

11.2 Where fees are charged per Enquiry, each Enquiry is visible to the Client Business in the Application. Spam and wrong numbers shall not be charged.

11.3 Where any amount remains unpaid after its due date, the Company may, upon notice to the Client Business, suspend the delivery of Enquiries until payment is received, without prejudice to its other rights.

12. Intellectual property

12.1 All intellectual property rights in the Website, the Application and the Lead Websites, including their content, design, telephone numbers and domain names, vest in and remain with the Company or its licensors.

12.2 A Service Agreement confers on the Client Business the right to receive Enquiries during its term and does not transfer to it any ownership of, or right in, any Lead Website or telephone number.

13. Data protection

13.1 The Company processes personal data in accordance with its privacy notice and the Data Protection Act, 2019.

13.2 In respect of Customer personal data received through the Application, the Client Business shall comply with the Data Protection Act, 2019 and the regulations made under it, shall keep such data secure, and shall not retain it longer than necessary.

14. Confidentiality

14.1 Each party shall keep confidential the terms of any Service Agreement and all non-public information of the other party, and shall not disclose them except to its professional advisers or as required by law. The Client Business shall not disclose the identity of any Lead Website to any third party.

15. Suspension and termination

15.1 The Company may suspend or close an account, or terminate a Service Agreement in accordance with its terms, where the User is in breach of these Terms, fails to make payment when due, or acts in a manner that places Customers at risk.

15.2 Save where the breach is serious or cannot be remedied, the Company shall give the User written notice of the breach and a reasonable opportunity to remedy it before taking such action.

15.3 A User may cease to use the Application at any time and may request closure of their account. Termination shall not affect rights and obligations accrued before termination, including the obligation to pay fees due.

16. Limitation of liability

16.1 Nothing in these Terms excludes or limits any liability which cannot lawfully be excluded or limited, including liability for fraud.

16.2 Subject to clause 16.1, the Company shall not be liable for any loss of profit, revenue, business, goodwill or opportunity, or for any indirect or consequential loss, howsoever arising.

16.3 Subject to clause 16.1, the total aggregate liability of the Company to a Client Business arising under or in connection with these Terms or any Service Agreement, in any period of twelve (12) months, shall not exceed the fees paid by the Client Business to the Company in that period.

16.4 The Website is provided on an “as is” and “as available” basis.

17. Indemnity

17.1 The Client Business shall indemnify and keep the Company indemnified against all claims, losses, liabilities and reasonable costs, including legal fees, arising from the Client Business's work for or dealings with any Customer, or from its breach of these Terms or of any law.

18. Force majeure

18.1 Neither party shall be liable for any delay or failure to perform its obligations (other than an obligation to pay) caused by events beyond its reasonable control, including acts of God, flood, fire, epidemic, civil unrest, acts of government, failure of electricity or telecommunications networks, or changes to search engines or third-party platforms.

19. Trademarks

19.1 Hauzisha Leads and its logo are trademarks of Hauzisha Platforms LTD. Google is a trademark of Google LLC. Hauzisha Leads is not affiliated with, sponsored or endorsed by Google LLC.

20. Governing law and disputes

20.1 These Terms and any dispute arising from them shall be governed by and construed in accordance with the laws of Kenya.

20.2 The parties shall first attempt in good faith to resolve any dispute by negotiation within thirty (30) days of written notice of the dispute.

20.3 Failing resolution, either party may refer the dispute to mediation in Nairobi. Where the dispute is not resolved within thirty (30) days of such referral, it shall be referred to arbitration by a sole arbitrator under the Arbitration Act, 1995, to be appointed by agreement or, failing agreement, by the Chairperson for the time being of the Chartered Institute of Arbitrators (Kenya Branch). The seat of arbitration shall be Nairobi, the language shall be English, and the award shall be final and binding.

20.4 Nothing in this clause shall prevent either party from seeking urgent interim relief from the courts of Kenya, or a Customer or consumer from exercising any right under the Consumer Protection Act, 2012.

21. General provisions

21.1 Amendment. The Company may amend these Terms from time to time. The date of the latest version appears at the top of this page. Material amendments shall be notified to users of the Application through the Application or by email before they take effect.

21.2 Entire agreement. These Terms, together with any Service Agreement and the privacy notice, constitute the entire agreement between the parties in relation to their subject matter.

21.3 Severability. If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.

21.4 Waiver. No failure or delay in exercising any right shall operate as a waiver of that right.

21.5 Assignment. The User shall not assign or transfer any right or obligation under these Terms without the prior written consent of the Company. The Company may assign its rights to a successor of its business.

21.6 Relationship. Nothing in these Terms creates a partnership, joint venture, agency or employment relationship between the Company and any User.
